Terms & Conditions
Please read these terms carefully before purchasing or using the GNA AI Chatbot plugin and associated services. By purchasing, downloading, installing, or using the plugin, you agree to be bound by these terms.
📄 1. Licence & Pricing
- Year 1 (First Year): $220 AUD GST-inclusive. Includes a one-time $65 setup fee plus a 12-month licence.
- Annual Renewal: $165 AUD GST-inclusive per 12-month term.
- Prices are in Australian Dollars (AUD) and include GST where applicable.
- The licence is non-transferable and valid for one (1) WordPress installation/domain per licence key.
- Renewal prices are not guaranteed to remain fixed indefinitely; GNA Solutions reserves the right to adjust pricing with 30 days' written notice.
- No refunds are available once the licence key has been issued and activated, except where required by Australian Consumer Law.
🔑 2. Licence Terms
- The plugin is licensed, not sold. Sydney Apps T/a GNA Solutions retains full intellectual property rights.
- You may not redistribute, resell, sublicense, or share your licence key with third parties.
- The licence key is validated daily against the GNA licence server at sydneyapps.com.au.
- GNA Solutions reserves the right to revoke a licence if these terms are breached, without refund.
- Licence keys are bound to a single domain. Multi-site or agency use requires a separate agreement.
🤖 3. AI & API Usage
- The plugin uses a third-party AI API. You are responsible for obtaining and maintaining your own API key.
- AI API costs are separate from and in addition to the GNA licence fee.
- GNA Solutions does not control or guarantee the availability of any third-party AI provider.
- The AI model used may change over time as technology evolves.
- You must comply with the AI provider's own Terms of Service and Acceptable Use Policy.
🔒 4. Data & Privacy
- Chat logs are stored in your own WordPress database. GNA Solutions does not store your end-users' chat conversations.
- You are responsible for compliance with the Australian Privacy Act 1988 and the Australian Privacy Principles.
- You must have an appropriate Privacy Policy on your website informing visitors that an AI chatbot may process their messages.
- Lead capture data collected via the handoff form is sent to your nominated email address.
- IP addresses are hashed before storage.
🛠️ 5. Setup & Support
- The $65 setup fee covers initial installation, configuration, bot personality setup, quick reply setup, and brand colour matching — on one WordPress site.
- Ongoing AI content and FAQ updates are included in the annual renewal fee.
- Support is provided via email during Sydney business hours (AEST).
- GNA Solutions reserves the right to limit the scope of included support at its reasonable discretion.
- Website hosting, WordPress administration, and third-party plugin conflicts are outside the scope of support.
⚖️ 6. Australian Consumer Law
- Nothing in these terms is intended to exclude, restrict, or modify rights you have under the Australian Consumer Law (ACL).
- Our goods and services come with guarantees that cannot be excluded under the ACL.
- Where applicable, statutory guarantees of acceptable quality and fitness for purpose apply.
📋 7. Acceptable Use
- The plugin and chatbot must not be used for any unlawful, deceptive, harmful, or fraudulent purpose.
- You must not use the chatbot to collect sensitive personal information without appropriate safeguards.
- You must not attempt to reverse-engineer, decompile, or circumvent the licence validation system.
- Spamming, automated abuse, or deliberate overloading of the AI API via the chatbot is prohibited.
- GNA Solutions may suspend or terminate a licence immediately and without refund if these conditions are violated.
🔐 8. Confidential & Sensitive Information
- Do not input confidential information into the chatbot's knowledge base or via conversation.
- Any information entered into the chatbot is transmitted to a third-party AI provider for processing.
- You acknowledge that inputting confidential or sensitive information is done entirely at your own risk.
- You are solely responsible for ensuring knowledge base content does not breach confidentiality obligations.
- You should display a clear notice informing users not to submit sensitive information through the chatbot.
🌐 9. Third-Party AI Data Processing
- The chatbot transmits user messages to a third-party AI provider via API for generating responses.
- Sydney Apps T/a GNA Solutions is not the data controller for data handled by the AI provider.
- You are responsible for ensuring compliance with the Australian Privacy Act 1988 and the APPs.
- If a data breach occurs at the AI provider level, GNA Solutions accepts no liability for it.
- GNA Solutions recommends users are advised not to submit government-issued ID numbers or financial details through the chatbot.
⚡ 10. AI Limitations & No Warranty
- LLMs are known to occasionally produce responses that are factually incorrect or misleading ("hallucinations").
- GNA Solutions makes no warranty that the chatbot will produce accurate or reliable responses at any time.
- The chatbot must not be used to provide advice in regulated fields (legal, financial, medical, taxation, immigration).
- You are responsible for the accuracy and currency of the knowledge base content you provide.
- GNA Solutions does not warrant that the chatbot will meet your specific business requirements.
🛡️ 11. Indemnification
- You agree to indemnify and hold harmless Sydney Apps T/a GNA Solutions from any claims arising out of your use of the chatbot or plugin.
- This includes claims relating to your violation of these Terms, knowledge base content, chatbot responses on your website, or failure to comply with applicable law.
- This indemnification obligation will survive the termination or expiry of your licence.
📜 12. General Legal Provisions
- Force Majeure: GNA Solutions is not liable for failures caused by circumstances beyond its reasonable control.
- Severability: Invalid provisions shall be severed; remaining provisions continue in full force.
- Entire Agreement: These Terms constitute the entire agreement between you and GNA Solutions.
- Governing Law: These Terms are governed by the laws of New South Wales, Australia.
- Dispute Resolution: Both parties agree to attempt good-faith written negotiation for 14 days before commencing legal proceedings.

AI Accuracy Disclaimer: The chatbot uses artificial intelligence and large language models. AI-generated responses may occasionally be inaccurate, incomplete, outdated, or unsuitable. GNA Solutions makes no warranty that the chatbot's responses will be accurate or appropriate for any particular purpose.
No Professional Advice: Nothing the chatbot says constitutes legal, financial, medical, or other professional advice. Visitors relying on chatbot responses for professional matters do so at their own risk.
Service Availability: The chatbot depends on third-party AI API services and your own hosting environment. GNA Solutions does not guarantee 100% uptime or availability.
Licence Server Dependency: The chatbot requires a daily connection to the GNA licence server (sydneyapps.com.au). A 12-hour grace period applies before the chatbot is disabled if the server cannot be reached.
API Costs: AI API usage fees are charged directly by the third-party AI provider and are billed to your API account. GNA Solutions is not responsible for unexpected API charges.
No Guarantee of Results: GNA Solutions does not guarantee any specific business outcomes from using the chatbot, including lead generation rates, conversion rates, or customer satisfaction.
Third-Party Platforms: GNA Solutions is not responsible for WordPress updates, plugin conflicts, or hosting environment issues that may affect chatbot functionality.
Data Loss: GNA Solutions strongly recommends maintaining regular backups of your WordPress database. GNA Solutions is not liable for any loss of chat data.
Limitation of Liability: To the maximum extent permitted by law, GNA Solutions' liability shall not exceed the total licence fees paid in the 12 months preceding the claim.
Changes to Terms: GNA Solutions may update these Terms at any time. Continued use after notice constitutes acceptance. Current terms always available at sydneyapps.com.au/terms.
Governing Law: These terms are governed by the laws of New South Wales, Australia.
